End User License Agreement (EULA)

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

This End User License Agreement ("Agreement") outlines the terms under which PDF-HQ grants you the right to install and use its software application (the "Software") along with any associated documentation, manuals, online help resources, or other technical materials (collectively, the "Related Materials"). By proceeding with the installation or use of the Software, you agree to be bound by the terms specified herein.

1. License Terms

1.1 Permitted Use

The Software and Related Materials are provided solely for your personal or professional use, subject to compliance with applicable laws. Any unauthorized distribution, sublicensing, or modification of the Software without prior written consent from PDF-HQ is strictly prohibited. You may not:

• Transfer, sell, or lease the Software.
• Copy or distribute the Software to others.
• Reverse-engineer, decompile, or create derivative operations based on the Software.

The Software may only be downloaded and accessed from authorized sources, such as pdf-hq.com.

1.2 Intellectual Property Rights

All rights, titles, and interests in the Software and Related Materials, including any intellectual property rights, remain the exclusive property of PDF-HQ or its licensors. This Agreement grants you limited usage rights and does not transfer ownership. Unauthorized use, reproduction, or distribution of intellectual property may result in legal action.

1.3 Third-Party Components

The Software may incorporate third-party extensions or open-source technologies. Your use of these components must comply with their respective licenses and guidelines. Intellectual property rights related to third-party content accessed through the Software remain with the respective owners.

2. Limitations of Liability

2.1 Indemnification

You agree to indemnify and hold PDF-HQ, its employees, agents, and affiliates harmless from any claims, damages, or legal actions arising from your use of the Software or Related Materials in violation of this Agreement.

2.2 Liability Disclaimer

Under no circumstances shall PDF-HQ or its licensors be held liable for any direct, indirect, incidental, or consequential damages, including but not limited to:

• Loss of profits, data, or business opportunities.
• Costs related to interruptions, system failures, or unauthorized access.

In jurisdictions where liability limitations are restricted, PDF-HQ’s aggregate liability shall not exceed $100 USD.

3. Warranties and Disclaimers

The Software and Related Materials are provided on an "as is" and "as available" basis. PDF-HQ disclaims all warranties, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, or error-free performance. No oral or written advice from PDF-HQ or its representatives shall create any additional warranties.

4. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the United States and the State of California. All disputes arising under this Agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in San Francisco County. Both parties agree to waive international legal provisions or jurisdictional claims in favor of arbitration.

5. Miscellaneous

• Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full effect.
• Entire Agreement: This Agreement constitutes the entire understanding between you and PDF-HQ regarding the Software, superseding all prior agreements or communications.
